Notes on supplementing business lines

Pursuant to Point a, Clause 1, Article 13 of the amended Enterprise Law 2025, effective from July 1, 2025, businesses must notify the Business Registration Office at the location of their headquarters when changing their business lines.

Although changing business lines may seem simple, it can entail significant risks if not done correctly. When carrying out the procedure to change business lines, businesses should pay attention to the following:

Accurately identify the 4-digit industry code according to the Vietnam Standard Industrial Classification under Decision 27/2018/QĐ-TTg, and ensure that the business line is not prohibited under applicable law.

When changing business lines, a business should amend its company charter to ensure consistency and legal compliance.

According to the Enterprise Law, when there is a change in business lines, businesses must register the change in their enterprise registration within 10 working days from the date of the decision. Failure to do so may result in administrative penalties under the law.

Certain conditional business lines require a statutory minimum capital. Businesses must ensure that their charter capital meets this legal minimum. Failure to do so may result in the business being denied an operation license or encountering difficulties in obtaining related permits.

Obtain the required licenses before commencing operations for conditional business lines.

Adding new business lines may affect the company’s tax obligations, especially if the new lines are subject to different tax rates. Therefore, businesses should review tax regulations to ensure proper declaration and payment, avoiding penalties due to errors.

Pursuant to Clause 1, Article 49 of Decree 168/2025/ND-CP, the documents for registering a change of business lines include:

a) Notice of change in business registration content;

b) A copy or the original of the resolution or decision regarding the change of the company’s business lines, issued by the owner for a one-member limited liability company, by the members’ council for a multi-member limited liability company or a partnership, or by the General Meeting of Shareholders for a joint-stock company.

Pursuant to Clause 1, Article 49 of Decree 168/2025/ND-CP, the provincial Business Registration Office where the enterprise has its head office is the competent authority to handle the procedure for adding business lines.

Vietnamese law does not limit the number of business lines an enterprise can register. An enterprise may register one or multiple business lines, provided that none of them are on the list of prohibited business activities.

Pursuant to Clause 2, Article 24 of the 2020 Enterprise Law, business lines are among the essential contents that must be included in a company’s charter. Therefore, when an enterprise changes, adds, or removes business lines, its charter must also be amended or supplemented accordingly to ensure consistency between the company’s internal documents and its legal registration records.

The time for VPL to complete the procedure for changing business lines is 5–7 working days from the date VPL receives a complete and valid set of documents.

If an enterprise fails to register changes to its business registration within 10 working days from the date of the decision to change, it may be subject to administrative fines under the law. The penalty may range from VND 3 million to VND 5 million, depending on the severity of the violation.

An enterprise can still register business lines that are not included in the Vietnam Standard Industrial Classification system. In such cases, the enterprise must provide a detailed and specific description of the intended business lines. The legal representative will be responsible for the accuracy and legality of the described business lines. The Business Registration Authority will review and accept them, provided that the business lines are not on the list of prohibited activities. Based on the description, the authority will include the business lines in the Enterprise Registration Certificate.
