General introduction about Service for changing ERC
1/ Definition
According to Article 57 of Decree No. 168/2025/ND-CP, updating or supplementing information in the enterprise registration dossier refers to cases where an enterprise updates or supplements information on the title, personal details of the legal representative, and other information in the enterprise registration dossier that do not fall under the cases of registration for change or notification of change in enterprise registration details as prescribed from Article 40 to Article 55 of Decree No. 168/2025/ND-CP.
Typically, cases of updating information on the Enterprise Registration Certificate include:

Updating or supplementing information on the title and personal details of the legal representative/owner/member, such as citizen identification card, passport, permanent address, contact address, etc. (only updating personal information of the current legal representative/owner/member, not cases of replacement by another person).

Updating the company address or tax notification address due to administrative boundary adjustments (not cases of relocation from one location to another).

Updating or adding the enterprise’s phone number, fax, email, or website.

2/ Notes when updating information on the Enterprise Registration Certificate

For enterprises whose Enterprise Registration Certificate does not contain the company’s phone number, the phone number must be added concurrently with the update, supplementation, or adjustment of the Enterprise Registration Certificate.

For information displayed on the Enterprise Registration Certificate, the enterprise will be issued an updated Enterprise Registration Certificate reflecting the new information; for information not displayed on the ERC, the enterprise will be issued a Confirmation of Change in Enterprise Registration Details.

For cases where the address update is solely due to administrative boundary changes, the enterprise should tick the option “Only administrative boundary change.”

Frequently asked questions
According to Article 57 of Decree No. 168/2025/ND-CP, the application for updating or supplementing information in the enterprise registration dossier includes:
– Application for registration of changes to the Enterprise Registration Certificate / Notification of changes to enterprise registration details (declared in Section B, Form No. 12, Appendix I issued together with Circular No. 68/2025/TT-BTC).
– In cases where the legal representative authorizes another person to carry out the procedures for amending the Enterprise Registration Certificate, a Power of Attorney must be submitted.
Typically, a company seal will display the enterprise’s address. If, after the update, the address information on the seal changes, the enterprise will need to re-engrave a new seal. VPL provides assistance to clients with seal engraving in accordance with standard templates.
According to Article 57 of Decree No. 168/2025/ND-CP, the required dossier for updating passport/Citizen Identification Card (CIC) information of the legal representative/member/owner/shareholder does not include a notarized copy of the passport/CIC. However, certain officers at the Business Registration Office may request a notarized copy of the passport/CIC for verifying the information in the application.
Yes, VPL assists in reviewing and advising on the necessary updates, and carries out the update and supplementation procedures for the enterprise registration dossier in one go to optimize costs and time for the enterprise.
This will depend on the information being updated. For example, if the enterprise updates the passport/Citizen Identification Card (CIC) or head office address on the Enterprise Registration Certificate, leading to changes in other related records such as the Investment Registration Certificate, sub-licenses, or the Certificate of Land Use Rights, the enterprise may proceed to amend these related licenses to ensure consistency across all legal documents.
According to legal regulations, the time to complete the procedure for updating and supplementing information in the enterprise registration dossier is 3 working days from the date the Business Registration Office receives a valid application. However, the actual total time for the enterprise to receive the original Enterprise Registration Certificate may be longer, approximately 5 to 7 working days. This discrepancy is mainly due to result delivery via postal service or other internal procedures.
